Nhà đầu tư là Công ty tư vấn Mỹ - Việt muốn đầu tư thành lập Công ty ...hoạt động trong lĩnh vực “tư vấn du học” tại Việt Nam với 100% vốn đầu tư Mỹ. Dựa trên yêu cầu và các thông tin từ Quý khách hàng cung cấp cùng với các văn bản pháp luật liên quan được tra cứu, IPIC tư vấn sơ bộ như sau:
The investor is American-Vietnam Consulting Company, who has desires to invest to establish ..... Company in Vietnam, operating in the field of "overseas study consultancy" with 100% US invested capital. Based on the requests and information provided by the Client, together with relevant legal regulations, IPIC would like to give you the preliminary advice as follows:
3.1. Về lĩnh vực kinh doanh:
Regarding the business field:
- Nhà đầu tư là Công ty tư vấn Mỹ - Việt, là pháp nhân được thành lập hợp pháp theo pháp luật Mỹ, muốn thành lập Công ty ......với 100% vốn đầu tư Mỹ tại Việt Nam hoạt động kinh doanh trong lĩnh vực “tư vấn du học”. Hiện nay, ngành, nghề “tư vấn du học” chưa được cam kết trong biểu cam kết dịch vụ WTO mà Việt Nam tham gia. Tuy nhiên, ngành, nghề “tư vấn du học” không thuộc ngành, nghề bị cấm hay hạn chế đầu tư kinh doanh đối với nhà đầu tư Mỹ khi đầu tư vào Việt Nam. Do vậy, Công ty tư vấn Mỹ - Việt được phép đầu tư thành lập Công ty ...... ở Việt Nam hoạt động kinh doanh trong lĩnh vực “tư vấn du học”.
The Investor is American-Vietnam Consulting Company, a legal entity legally incorporated under US law, who has desires to invest to establish ..... Company operating in the field of "overseas study consultancy" in Vietnam with 100% US invested capital. Currently, "overseas study consultancy" has not been listed the Schedule of Viet Nam's commitments on trade and services in WTO. Therefore, American-Vietnam Consulting Company is allowed to establish ...... Company in Vietnam, operating in the field of "overseas study consultancy.
3.2. Điều kiện về vốn:
Conditions for capital:
- Pháp luật Việt Nam không quy định mức vốn cụ thể mà Nhà đầu tư Mỹ phải đáp ứng khi thực hiện đầu tư kinh doanh vào Việt Nam trong lĩnh vực “tư vấn du học”. Tuy nhiên, trên thực tế vốn đầu tư là một trong những căn cứ để đánh giá quy mô, khả năng thực hiện của dự án đầu tư. Vì vậy, vốn đầu tư đối với lĩnh vực “tư vấn du học” nên để là 100.000 USD đến 300.000 USD trở lên.
Vietnamese law does not define a specific capital amount that a US investor must meet when investing in Vietnam in the field of "overseas study consultancy". However, in fact, investment capital is one of the basics for evaluating the scale and feasibility of an investment project. Therefore, the investment capital for the field of "overseas study consultancy" should be from USD 100,000 to USD 300,000 or more.
* Lưu ý: Qua trao đổi trực tiếp với Quý Khách hàng, hai bên đã thống nhất để mức vốn cụ thể là: tổng vốn đầu tư: 100.000 USD với 40.000 USD là vốn góp, còn lại 60.000 USD là vốn vay.
Notes: Through direct discussion with the Client, two parties has agreed with following capital amount: total investment capital: $ 100,000, of which: USD 40,000 is contributed capital, remaining USD 60,000 is loan capital.
3.3. Điều kiện hoạt động trong lĩnh vực tư vấn du học:
Conditions for operating in the overseas study consultancy field:
- Tổ chức kinh doanh dịch vụ tư vấn du học được thành lập theo quy định của pháp luật.
Organizations providing overseas study consultancy services are established in accordance with the law
- Có trụ sở, cơ sở vật chất và trang thiết bị phục vụ hoạt động kinh doanh dịch vụ tư vấn du học.
Having offices, facilities and equipment to do business in overseas study consultancy services.
- Đội ngũ nhân viên trực tiếp tư vấn du học có trình độ đại học trở lên, Có năng lực sử dụng ít nhất một ngoại ngữ từ bậc 4 trở lên theo Khung năng lực ngoại ngữ 6 bậc dùng cho Việt Nam và tương đương, Có chứng chỉ bồi dưỡng nghiệp vụ tư vấn du học theo quy định của Bộ Giáo dục và Đào tạo.
Personnel directly giving advice on overseas study must have a university or higher degree, Able to use at least one foreign language from level 4 upwards according to 6-level foreign language capability frame for Vietnam and equivalent, Having a professional training certificate for overseas study consultancy as prescribed by the Ministry of Education and Training
3.4. Cụ thể, Quý Khách hàng thực hiện theo trình tự, thủ tục như sau:
Specifically, the processes and procedures for implementation are as follows:
Bước 1: Nhà đầu tư thực hiện thủ tục cấp Giấy chứng nhận đăng ký đầu tư tại Sở Kế hoạch và Đầu tư thành phố Hà Nội;
Step 1: The investor applies for the Investment registration certificate at the Department of Planning and Investment of Hanoi city;
Bước 2: Nhà đầu tư thực hiện thủ tục cấp Giấy chứng nhận đăng ký doanh nghiệp tại Sở Kế hoạch và Đầu tư thành phố Hà Nội;
Step 2: The investor applies for the Certificate of enterprise registration at the Department of Planning and Investment of Hanoi city;
Bước 3: Nhà đầu tư thực hiện thủ tục cấp Giấy đăng ký kinh doanh dịch vụ tư vấn du học tại Sở Giáo dục và Đào tạo thành phố Hà Nội.
Step 3: The investor applies for the Certificate of business registration in overseas study consultancy services at the Department of Education and Training of Hanoi city.
3.5. Soạn thảo hồ sơ cần thiết thực hiện thủ tục
Preparing necessary documents
Bước 1: Nhà đầu tư thực hiện thủ tục cấp Giấy chứng nhận đăng ký đầu tư;
• Văn bản đề nghị thực hiện dự án đầu tư;
• Đề xuất dự án đầu tư;
• Cam kết hỗ trợ tài chính của Công ty tư vấn Mỹ - Việt;
• Giải trình năng lực tài chính của Nhà đầu tư;
• Giấy ủy quyền cho IPIC.
Step 1: The investor applies for the Investment registration certificate
• Application form for implementation of the investment project;
• Proposal of the investment project;
• Commitment on financial support of American-Vietnam Consulting Company;
• Explanation of the financial capacity of the investor;
• Power of attorney to IPIC.
Bước 2: Nhà đầu tư thực hiện thủ tục cấp Giấy chứng nhận đăng ký doanh nghiệp;
• Giấy đề nghị đăng ký doanh nghiệp;
• Điều lệ Công ty;
• Giấy ủy quyền cho IPIC
Step 2: The investor applies for the Certificate of enterprise registration;
• Application form for business registration;
• Company Charter;
• Power of attorney to IPIC;
Bước 3: Nhà đầu tư thực hiện thủ tục cấp Giấy đăng ký kinh doanh dịch vụ tư vấn du học.
• Văn bản đề nghị cấp giấy chứng nhận đăng ký kinh doanh dịch vụ tư vấn du học;
• Danh sách đội ngũ nhân viên trực tiếp tư vấn du học;
• Giấy ủy quyền cho IPIC.

3.6. Thời gian thực hiện theo quy định của pháp luật

- Thời gian thực hiện thủ tục cấp Giấy chứng nhận đăng ký đầu tư: 15 ngày làm việc kể từ ngày nộp hồ sơ hợp lệ đến Sở kế hoạch và Đầu tư thành phố Hà Nội;
Processing time for the certificate of investment registration: 15 working days from the date of filing valid application to Department of Planning and Investment of Hanoi city;
- Thời gian thực hiện thủ tục cấp Giây chứng nhận đăng ký doanh nghiệp: 03 ngày làm việc kể từ ngày nộp hồ sơ hợp lệ đến Sở Kế hoạch và Đầu tư thành phố Hà Nội;
Processing time for the Certificate of enterprise registration: 03 working days from the date of filing valid application to Department of Planning and Investment of Hanoi city;
- Thời gian thực hiện thủ tục câp Giấy đăng ký kinh doanh dịch vụ tư vấn du học: 15 ngày làm việc kể từ ngày nộp hồ sơ hợp lệ đến Sở Giáo dục và Đào tạo thành phố Hà Nội.
Processing time for the Certificate of business registration in overseas study consultancy services: 15 working days from the date of filing valid application to the Department of Education and Training of Hanoi city.
* Lưu ý: Qua trao đổi trực tiếp với Quý khách hàng. Hai bên thống nhất thời gian thực hiện thủ tục các bước cụ thể như sau:

- Thời gian thực hiện thủ tục cấp Giấy chứng nhận đăng ký đầu tư: 07 ngày làm việc kể từ ngày nộp hồ sơ hợp lệ đến Sở kế hoạch và Đầu tư thành phố Hà Nội;
Processing time for the certificate of investment registration: 07 working days from the date of filing valid application to Department of Planning and Investment of Hanoi city;
- Thời gian thực hiện thủ tục cấp Giây chứng nhận đăng ký doanh nghiệp: 01 ngày làm việc kể từ ngày nộp hồ sơ hợp lệ đến Sở Kế hoạch và Đầu tư thành phố Hà Nội;
Processing time for the Certificate of enterprise registration: 01 working days from the date of filing valid application to Department of Planning and Investment of Hanoi city;
- Thời gian thực hiện thủ tục câp Giấy đăng ký kinh doanh dịch vụ tư vấn du học: 10 ngày làm việc kể từ ngày nộp hồ sơ hợp lệ đến Sở Giáo dục và Đào tạo thành phố Hà Nội.

03 duplicate copies of consular legalization, with Vietnamese translation and Notarization of the Establishment Certificate of American-Vietnam Consulting Company (The Client can send the scanned consular legalization copy of the Establishment Certificate of American-Vietnam Consulting Company to IPIC for Vietnamese translation and notarization)
- 03 Bản sao dịch ra tiếng Việt và Công chứng hộ chiếu của Người đại diện quản lý vốn góp, người đại diện theo pháp luật Công ty ....(Quý khách hàng có thể Scan hộ chiếu của Người đại diện quản lý vốn góp, người đại diện theo pháp luật Công ty ......qua IPIC thực hiện dịch ra tiếng Việt và Công chứng);
03 duplicate copies of Vietnamese translation and notarization of the Passport of the Contributed capital management representative, legal representative of ....Company (The Client can send the scanned passport of the contributed capital management representative, legal representative of ......Company to IPIC for Vietnamese translation and notarization)
- 02 Bản sao chứng thực hợp đồng thuê địa điểm hoặc thỏa thuận nguyên tắc hợp đồng thuê địa điểm để thực hiện dự án. Kèm theo tài liệu này là Giấy chứng nhận đầu tư của bên cho thuê địa điểm (Có ngành nghề kinh doanh bất động sản); Giấy phép xây dựng; Giấy chứng nhận quyền sử dụng đất (đối với địa điểm thuê là nhà); Bản vẽ mặt bằng cho thuê.
02 Authenticated copy of the location lease contract or principle contract for location lease for project implementation. Together with this document are the Investment Certificate of the lessor (must be allowed to do business in real estate leasing); Construction certificate; Cerfificate of land use right (in case of house lease); Drawing of the leased floor plan.

- Qua trao đổi trực tiếp với Quý khách hàng, liên quan đến tài liệu cần cung cấp về chứng minh năng lực tài chính của nhà đầu tư. Nhà đầu tư cung cấp xác nhận số dư tài khoản ngân hàng của các cổ đông trong công ty với số dư từ 40.000 USD trở lên tại ngân hàng ở Việt Nam, kèm theo đó là cam kết của cả ba cổ đông trong công ty tư vấn Mỹ - Việt về việc cam kết đầu tư thành lập công ty VAC ở Việt Nam.
Through direct discussion with the Client, regarding to the document needed to prove the financial capability of the investor, the investor needs to provide the bank account balance of the shareholders in the company with the balance amount of 40,000 or more in Vietnamese banks; and the commitments of all 3 shareholders in the American-Vietnam Consulting Company on the investment to establish VAC Company in Vietnam

4.1. Phạm vi công việc
Scope of work:
- Tư vấn các quy định pháp luật và các vấn đề pháp lý có liên quan đến việc thành lập Công ty VAC với 100% vốn đầu tư Mỹ tại Việt Nam hoạt động kinh doanh ngành, nghề “tư vấn du học”;
Giving advice on legal regulations and legal matter relating to the establishment of VAC Company with 100% US invested capital in Vietnam, operating in the field of "overseas study consultancy";
- Soạn thảo hồ sơ và thực hiện thủ tục cấp Giấy chứng nhận đăng ký đầu tư;
Preparing documents and processing the application procedure for the Investment Registration Certificate
- Soạn thảo hồ sơ và thực hiện thủ tục cấp Giấy chứng nhận đăng ký doanh nghiệp;
Preparing documents and processing the application procedure for the Certificate of enterprise registration
- Soạn thảo hồ sơ và thực hiện thủ tục cấp Giấy đăng ký kinh doanh dịch vụ tư vấn du học.

- Thay mặt Quý Khách hàng nộp hồ sơ thực hiện thủ tục cấp Giấy chứng nhận nhận đăng ký đầu tư, cấp Giấy chứng nhận đăng ký doanh nghiệp và Cấp Giấy đăng ký kinh doanh dịch vụ tư vấn du học tại cơ quan nhà nước có thẩm quyền;
On behalf of the Client, filing the application for the Investment Registration Certificate, Certificate of enterprise registration, Certificate of business registration in overseas study consultancy services at competent authorities;
- Thay mặt Quý khách hàng làm việc với cơ quan nhà nước có thẩm quyền để thực hiện các công việc nêu trên;
On behalf of the Client, working with competent authorities to do above work;
- Thay mặt Quý Khách hàng nhận kết quả và bàn giao Giấy chứng nhận đăng ký đầu tư, Giấy chứng nhận đăng ký doanh nghiệp và Giấy đăng ký kinh doanh dịch vụ tư vấn du học tại cơ quan nhà nước có thẩm quyền.
On behalf of the Client, receiving the results and handing-over the Investment Registration Certificate, Certificate of enterprise registration, Certificate of business registration at competent authorities.
